01.Marketplace Services

Fragrance Resale operates an online marketplace that allows independent Buyers and Sellers to connect for the potential purchase and sale of new, pre-owned, vintage, discontinued, rare, collectible, designer, niche and other approved fragrances and fragrance-related products (“Listed Items”).

Listed Items may include, without limitation, perfumes, parfums, eau de parfum, eau de toilette, eau de cologne, extrait de parfum, perfume oils, fragrance gift sets, travel sprays, decants, samples, discovery sets, testers, miniature bottles, partial bottles, vintage fragrances, discontinued fragrances, rare and collectible fragrances, empty collectible bottles when accurately identified as such, and other approved fragrance-related products.

Fragrance Resale is not the Buyer or Seller of Listed Items and, unless explicitly stated otherwise, does not own, take possession of, inspect, test, authenticate, manufacture, formulate, warehouse, package, ship or deliver Listed Items.

Buyers and Sellers enter into transactions directly with one another. Fragrance Resale is not a party to the purchase and sale agreement between a Buyer and Seller.

Sellers are solely responsible for the Listed Items they offer, including the accuracy of descriptions, photographs, brand information, fragrance names, concentration, bottle size, estimated remaining quantity, condition, batch or production information, authenticity, ownership, legality, shipping, return policies and all other representations made in a listing.

Buyers are responsible for carefully reviewing listings, Seller Profiles, Seller Ratings, available payment methods and applicable Seller terms before entering into a transaction.

We may monitor or review marketplace activity, communications, listings and disputes when we believe it is appropriate to protect users, enforce these Terms, prevent fraud or counterfeiting, comply with applicable law or protect the integrity of Fragrance Resale.

02.Eligibility and Use of the Services

You may use the Services only if you are legally capable of entering into a binding contract and your use of the Services complies with all applicable federal, state, local and international laws and regulations.

You must be at least the age of majority in your jurisdiction to buy, sell, bid or otherwise enter into transactions through Fragrance Resale.

Our Services are not available to users whose accounts have previously been permanently suspended or terminated unless Fragrance Resale expressly authorizes the creation of another account.

We reserve the right to restrict, suspend or terminate access to the Services when we reasonably believe such action is necessary to prevent fraud, counterfeiting or abuse; protect users or Fragrance Resale; comply with applicable law; or address violations of these Terms.

03.User Accounts and Seller Profiles

A registered account may be required to buy, sell, bid, make offers, create listings, maintain a Seller Profile or use certain marketplace features.

By creating or using an account, you agree that you will:

1. Provide accurate, current and complete information.
2. Keep your account information reasonably current.
3. Maintain only accounts that you are authorized to use.
4. Keep your password and account credentials confidential.
5. Not impersonate another individual, company, retailer, brand or organization.
6. Not provide false, fraudulent, deceptive or misleading information.
7. Not use your account for unlawful, fraudulent or counterfeit-related activity.
8. Promptly notify us if you believe your account has been compromised.

You are responsible for activity conducted through your account unless prohibited by applicable law.

Accounts may not be sold, assigned or transferred to another party without our prior written authorization.

If you create or use an account on behalf of a company, retailer, fragrance brand, boutique, reseller or other legal entity, you represent that you have authority to bind that entity to these Terms.

We may request information reasonably necessary to verify your identity, business, account, inventory or eligibility to use certain marketplace features.

Sellers may receive a public Seller Profile displaying information such as their username or Seller name, active listings, transaction-related information, Seller Rating, feedback and other marketplace information made available by Fragrance Resale.

Seller Ratings and feedback are based on marketplace activity and user submissions and do not constitute an endorsement, guarantee, certification or independent verification of a Seller by Fragrance Resale.

04.Seller Requirements

Sellers are responsible for complying with all laws, regulations, third-party rights and applicable marketplace requirements relating to their listings and transactions.

By creating a listing, a Seller represents and warrants that:

1. The Seller owns the Listed Item or has legal authority to sell or transfer it.
2. The Listed Item is lawful to sell, ship and transfer.
3. The listing accurately describes the Listed Item.
4. All photographs and information used in the listing may lawfully be used by the Seller.
5. The Listed Item is authentic unless authenticity is not applicable to the particular item.
6. The Listed Item is not stolen, counterfeit, adulterated, fraudulently represented or intentionally mislabeled.
7. The Seller will disclose known material defects, damage, leakage, evaporation, missing components, altered packaging or other material conditions.
8. The Seller will accurately represent the approximate amount of fragrance remaining when selling a partially used bottle.
9. The Seller has the ability to deliver the Listed Item as represented.
10. The Seller will honor a successfully completed sale in accordance with these Terms.
11. The Seller will comply with the shipping, delivery, payment and other terms stated in the listing.
12. The Seller will comply with applicable PayPal requirements for integrated item payments and the terms of any offline payment method offered.

Additional requirements applicable to Sellers are contained in our Seller Terms.

05.Seller Payment Accounts and Offline Methods

PayPal is the only integrated payment method available to Sellers for receiving item payments through Fragrance Resale. Sellers who use integrated checkout must connect and maintain an eligible PayPal account and comply with PayPal’s terms, identity verification, acceptable-use policies and applicable fees.

Sellers may also offer offline payment methods, where enabled by marketplace functionality, such as Venmo, Cash App or other methods disclosed in the listing and accepted by the parties. “Offline” means the item payment is arranged directly between Buyer and Seller outside the marketplace’s integrated PayPal checkout; it does not necessarily mean cash payment.

Offline payment methods are not processed, held, verified or guaranteed by Fragrance Resale. Buyers and Sellers are responsible for confirming the recipient, amount, payment completion and any protections or dispute procedures offered by the chosen provider. Some payment types may not provide purchase protection.

Fragrance Resale uses Stripe separately to collect Buyer Marketplace Fees from Buyers. Stripe is not an integrated Seller payout or item-payment method. Sellers do not connect Stripe to receive payment for Listed Items.

Sellers are responsible for applicable fees, reversals, chargebacks and disputes associated with the payment methods they choose, subject to applicable law.

06.Marketplace Fees

Fragrance Resale currently charges 0% standard listing fees and 0% standard Seller fees. Unless otherwise disclosed on our Site Fees page, Sellers may create standard listings without paying Fragrance Resale a standard listing fee and Fragrance Resale does not deduct a standard Seller commission from the final item sale price.

PayPal processing fees and any fees for Seller-accepted offline payment methods are separate from Fragrance Resale’s marketplace fees. Stripe is used by Fragrance Resale to collect Buyer Marketplace Fees, not to pay Sellers.

Fragrance Resale charges Buyers a Buyer Marketplace Fee on eligible marketplace purchases.

Unless otherwise disclosed, the Buyer Marketplace Fee is calculated using the final item sale price.

For a final item sale price of $10.00 or less, the Buyer Marketplace Fee is 15% of the final item sale price.

For a final item sale price above $10.00, the Buyer Marketplace Fee is:

$1.50 + 5% of the portion of the final item sale price above $10.00.

For example, for a $100.00 final item sale price, the Buyer Marketplace Fee is:

$1.50
+ 5% of $90.00 ($4.50)
= $6.00 Buyer Marketplace Fee

The Buyer Marketplace Fee may apply to transactions completed through:

• Live Online Auctions
• Buy Now listings
• Accepted Make Offer transactions

For a Live Online Auction, the final item sale price is generally the final winning bid. For a Buy Now transaction, it is generally the Buy Now purchase price. For an accepted Make Offer transaction, it is generally the accepted offer price.

The Buyer Marketplace Fee is calculated using the final item sale price and is separate from shipping, insurance, applicable taxes, payment-processing charges and other transaction costs.

The applicable Buyer Marketplace Fee will be disclosed in accordance with marketplace functionality and applicable law.

Marketplace fees are subject to change prospectively. Any changes will be disclosed through Fragrance Resale or the applicable Site Fees page.

07.Listings

Sellers are responsible for creating complete and accurate listings. Listings should include sufficient information for a reasonable Buyer to evaluate the Listed Item.

Depending on available marketplace features and the applicable category, Sellers may offer Listed Items through:

• Live Online Auctions
• Buy Now listings
• Make Offer listings
• Other listing formats that Fragrance Resale may make available

Sellers must place Listed Items in appropriate categories and accurately describe material characteristics such as brand, fragrance name, concentration, bottle size, approximate amount remaining, condition, packaging, tester status, batch code when known and relevant, included accessories and quantity when applicable.

Fragrance Resale may remove, edit, restrict, hide or re-categorize a listing if we reasonably believe it violates these Terms, applicable law or marketplace policies, creates risk to users, is misleading or is otherwise inappropriate for the marketplace.

08.Fragrance Condition and Fill Levels

Fragrances may vary substantially in condition, age, packaging and remaining quantity. Sellers are responsible for accurately representing the condition of every Listed Item.

Sellers should accurately identify a Listed Item when applicable as:

• New / Sealed
• New / Unsealed
• Open Box
• Pre-Owned / Used
• Tester
• Vintage
• Discontinued
• Rare or Collectible
• Decant
• Sample
• Miniature
• Partial Bottle
• Empty Bottle or Packaging, when permitted

For partially used fragrances, Sellers should provide a reasonable and good-faith representation of the amount remaining. When practical, Sellers should provide photographs that allow Buyers to evaluate the approximate fill level.

Sellers may not intentionally conceal or materially misrepresent evaporation, leakage, damaged atomizers, broken caps, damaged bottles, missing packaging, substantial cosmetic damage or other known conditions that could materially affect the value or use of a Listed Item.

Minor variations in estimated fill level may occur because fragrance bottles differ in shape, opacity, internal construction and design. Sellers must nevertheless make reasonable efforts to provide accurate information.

09.Authenticity

Fragrance Resale prohibits counterfeit fragrances and other counterfeit Listed Items.

Sellers represent that fragrance products listed as authentic are genuine products and are not counterfeit, imitation or fraudulently branded products.

Sellers may be asked to provide additional information or photographs that may assist in evaluating a listing, including photographs of bottles, boxes, labels, batch codes, packaging, atomizers, caps, receipts or other identifying characteristics.

Fragrance Resale may remove a listing, request additional information, restrict transactions or suspend an account when we reasonably suspect that an item may be counterfeit, fraudulent or materially misrepresented.

FRAGRANCE RESALE DOES NOT INDEPENDENTLY INSPECT OR AUTHENTICATE EVERY LISTED ITEM AND DOES NOT GUARANTEE THE AUTHENTICITY OF ANY LISTED ITEM.

10.Vintage, Discontinued and Older Fragrances

Vintage, discontinued and older fragrances may naturally change over time as a result of age, storage conditions, exposure to light, temperature, oxidation, evaporation or other factors.

Such changes may affect color, scent profile, intensity, longevity, projection, consistency, packaging or fill level.

Sellers should accurately disclose known material information regarding the age, storage history or condition of a vintage or older fragrance when such information is known and reasonably relevant to a Buyer.

Fragrance Resale does not guarantee that an older fragrance will smell, perform or appear exactly as it did when originally manufactured.

11.Decants, Samples and Repackaged Fragrances

Where permitted by applicable law and Fragrance Resale policies, Sellers may list fragrance decants, samples or other approved quantities transferred from an original fragrance container.

Sellers of decants must accurately identify the fragrance, approximate quantity and nature of the container being sold.

A decant must not be represented as original manufacturer packaging when it has been transferred into a third-party container.

Sellers may not use misleading packaging, labels, trademarks or representations that could reasonably cause a Buyer to believe a third-party decant was bottled, packaged or authorized by the original fragrance manufacturer when that is not the case.

Sellers are solely responsible for ensuring that their preparation, packaging, labeling, sale and shipment of decants comply with applicable laws and carrier requirements.

12.Testers, Samples and Promotional Products

Fragrance testers, promotional bottles, samples and similar products may differ from standard retail products in packaging, caps, boxes, labeling or presentation.

Sellers must accurately identify an item as a tester, sample, promotional product or similar item when applicable.

Sellers should disclose material differences from standard retail packaging when known.

Fragrance Resale does not guarantee that testers, promotional products or samples include the same packaging, accessories or presentation as standard retail versions.

13.Auctions and Bidding

When you place a bid in an auction, you are making a commitment to purchase the Listed Item if you are the winning Bidder, subject to any reserve price or other conditions clearly stated in the listing.

Bids generally may not be withdrawn solely because a Buyer changes their mind, makes an error concerning the item’s value or later finds another item at a lower price.

Sellers agree to honor completed auctions in which the applicable selling requirements have been satisfied.

Fragrance Resale may use automatic bidding, proxy bidding or other bidding features as described within the applicable auction.

Anti-Sniping Protection: If a qualifying bid is placed during the final two (2) minutes of an auction, the auction may automatically extend so that approximately two (2) minutes remain for additional bidding. Additional qualifying bids may result in further extensions.

Fragrance Resale may cancel, suspend, extend or otherwise correct an auction when reasonably necessary because of technical errors, fraud, listing errors, system outages or violations of these Terms.

Additional requirements applicable to auction participants are contained in our Bidder Terms.

14.Reserve Prices

Certain auctions may permit a Seller to establish a reserve price.

If the highest valid bid does not satisfy the applicable reserve price, the Seller may not be obligated to sell the Listed Item unless the Seller voluntarily agrees otherwise.

15.Buy Now

A Buyer who completes a Buy Now purchase agrees to purchase the Listed Item at the displayed price and comply with the Seller’s disclosed payment, shipping, delivery and transaction terms.

16.Make Offer

Certain listings may allow Buyers to submit offers to Sellers.

An offer does not create a completed sale unless and until it is accepted by the Seller through the marketplace or otherwise becomes binding under the applicable marketplace workflow.

If a Seller accepts a Buyer’s offer, both parties agree to complete the transaction at the accepted price subject to the applicable listing terms.

17.Buyer Responsibilities

Before purchasing or bidding on a Listed Item, Buyers should:

• Carefully review the entire listing
• Review all applicable photographs
• Confirm the fragrance brand and fragrance name
• Confirm the concentration and bottle size
• Review the stated condition and approximate fill level
• Review whether the item is new, pre-owned, vintage, a tester, decant or sample
• Review known defects, damage or limitations
• Review included and missing packaging or accessories
• Review the Seller Profile and available Seller Rating or feedback
• Review shipping or delivery methods and costs
• Review the Seller’s accepted payment methods
• Review the Seller’s return or refund policy
• Ask the Seller questions when additional information is needed

A Buyer is responsible for paying for a Listed Item after entering into a binding purchase through an auction, Buy Now transaction or accepted offer.

18.Item Payments, Offline Methods and Stripe Marketplace Fees

Item payments: Buyers pay Sellers for Listed Items either through the marketplace’s integrated PayPal option, when offered, or through an offline payment method the Seller accepts, such as Venmo or Cash App. The Seller, not Fragrance Resale, receives the item sale proceeds, subject to the chosen provider’s processing and payout rules.

Marketplace fees: Fragrance Resale separately uses Stripe to charge and collect the Buyer Marketplace Fee from Buyers. This Stripe charge is for the marketplace fee, not the Seller’s item price. Stripe is not offered as an integrated payment method for Sellers to receive item proceeds.

The Buyer Marketplace Fee applies to eligible purchases regardless of whether the Buyer pays the Seller through integrated PayPal or an approved offline arrangement. Buyers must pay applicable marketplace fees as presented by the marketplace and must not bypass them by arranging payment directly with a Seller.

When using an offline method, the Buyer and Seller independently arrange and verify the item payment, including payment instructions, timing, refunds and evidence of payment. Fragrance Resale does not process, hold, escrow, confirm, or guarantee offline item payments. Users should not treat a payment screenshot or unverified notice as proof that funds were received.

PayPal, Stripe, Venmo, Cash App and other payment services are independent providers with their own terms, fees, account restrictions and dispute processes. Fragrance Resale does not control their decisions. Users should check whether the specific payment method and transaction are eligible for purchase protection before paying.

Fragrance Resale does not guarantee completion of transactions, availability of payment methods, recovery of funds, or favorable resolution of payment disputes, except as required by applicable law.

19.Buyer Protection and Payment Disputes

Eligible item purchases paid through integrated PayPal may qualify for PayPal Buyer Protection, subject to PayPal’s rules, exclusions, evidence requirements and filing deadlines. Fragrance Resale does not provide or guarantee PayPal Buyer Protection.

Offline item payments, including payments made through Venmo or Cash App, may have different or limited protections. Users are responsible for reviewing the protection and dispute rules for the specific type of payment they make; not every transfer is protected.

Stripe processes the separate Buyer Marketplace Fee paid to Fragrance Resale. A card dispute concerning that fee is not automatically a dispute or refund of the separate item payment to the Seller. Item-payment disputes must be pursued through the applicable Seller payment method or as otherwise provided by law.

Buyers who believe an item was not received, counterfeit or materially misrepresented should promptly contact the Seller and, where available, follow the applicable payment provider’s dispute process within its deadlines. Retain listing details, communications, photographs, tracking information and payment records.

Payment-provider protections are provided by those providers and are not a Fragrance Resale warranty, insurance policy or reimbursement guarantee.

20.Shipping, Delivery and Local Pickup

Sellers are responsible for shipping Sold Items in accordance with their listing, applicable law, carrier requirements and any applicable agreement with the Buyer.

Fragrances may contain alcohol or other ingredients that are subject to special transportation, hazardous-material, air-shipping or carrier restrictions. Sellers are solely responsible for determining whether and how a Listed Item may lawfully be shipped.

Sellers must comply with all applicable shipping-carrier requirements regarding fragrance, perfume, alcohol-based products and other regulated materials.

Sellers should package fragrance bottles carefully to reduce the risk of leakage, breakage or other damage during transportation.

When shipment tracking is available, Sellers are encouraged to provide tracking information to Buyers promptly.

Unless otherwise agreed between the Buyer and Seller, shipping, insurance, signature confirmation, delivery and local pickup arrangements are the responsibility of the parties to the transaction.

Fragrance Resale is not responsible for items that are lost, stolen, delayed, confiscated, rejected by a carrier, misdelivered, leaked, broken or otherwise damaged during shipment, delivery or local pickup.

21.Returns, Refunds and Cancellations

Because Fragrance Resale does not own or sell the Listed Items, return and refund terms are generally established by the individual Seller, subject to applicable law and applicable payment-provider requirements.

Sellers are responsible for clearly disclosing their return or refund policy when applicable.

Buyers should review the Seller’s return or refund policy before placing a bid, making an offer or completing a Buy Now purchase.

A Buyer’s rights may also depend on PayPal or the offline payment provider used to pay the Seller, applicable card-issuer rules, and consumer-protection laws. Stripe processes the separate Buyer Marketplace Fee.

Fragrance Resale may assist users with communication regarding a dispute but is not required to issue refunds or reimburse users for transactions between Buyers and Sellers unless expressly required by applicable law.

22.Transaction Circumvention

Users may not use Fragrance Resale to identify or communicate with another user for the purpose of intentionally avoiding applicable marketplace fees on a transaction initiated through or resulting from a listing on Fragrance Resale.

Prohibited circumvention may include requesting that another user cancel a marketplace transaction and complete the same transaction privately solely to avoid an applicable Buyer Marketplace Fee or other authorized Fragrance Resale charge.

Accounts engaging in intentional fee avoidance may be restricted, suspended or terminated, and applicable fees may remain due.

23.Prohibited and Restricted Items

Users may not list, sell, purchase or attempt to transact in products that are illegal, stolen, counterfeit, fraudulent, unsafe or prohibited by Fragrance Resale policies.

Prohibited listings include, without limitation:

• Counterfeit fragrances or counterfeit fragrance-related products
• Stolen property
• Products bearing unauthorized counterfeit trademarks or branding
• Fraudulently altered, diluted, substituted or misrepresented fragrances
• Products intentionally filled with a substance different from the fragrance represented in the listing
• Items that the Seller does not own or have authority to sell
• Products that have been unlawfully obtained
• Products that are illegal to sell, possess or ship
• Products subject to a recall when resale is prohibited or unsafe
• Products intentionally contaminated or adulterated
• Hazardous products prohibited by applicable law or carrier requirements
• Other products Fragrance Resale determines are inappropriate for the marketplace

We reserve the right to remove prohibited or questionable listings and restrict accounts associated with such activity.

24.Counterfeit, Stolen and Misrepresented Items

Fragrance Resale prohibits knowingly listing counterfeit, stolen, adulterated or fraudulently misrepresented products.

Sellers may not intentionally misrepresent material information including brand, fragrance name, concentration, bottle size, fill level, batch information, production information, packaging, condition, tester status, ownership, authenticity or product origin.

Sellers may not knowingly refill an authentic bottle with a different fragrance or substance and represent the resulting product as an authentic original fragrance.

Sellers may not knowingly alter identifying information, labels, packaging or batch information for the purpose of misleading Buyers regarding the identity, age, origin, condition or authenticity of a Listed Item.

We may request additional information concerning a Listed Item and may remove listings or restrict accounts when we reasonably suspect fraud, counterfeiting, theft, adulteration or material misrepresentation.

25.Batch Codes and Product Identification

Sellers should provide accurate product identification information when reasonably necessary for a Buyer to evaluate a Listed Item.

Fragrance Resale may request batch codes, product codes, photographs, packaging information, receipts, purchase information or other identifying information for fraud prevention, listing review or dispute review.

Batch codes and other identifying information may provide useful information but are not, by themselves, a guarantee of authenticity, production date or product history.

Sellers may not knowingly alter, remove or misrepresent identifying information for the purpose of concealing theft, counterfeiting, fraud or the actual identity of a product.

26.User Communications and Conduct

Users must communicate with one another professionally and may not use the Services to threaten, harass, abuse, defraud, deceive, spam or otherwise harm another person.

Users may not:

• Send unsolicited commercial messages unrelated to marketplace transactions
• Attempt to obtain another user’s password or account credentials
• Request unnecessary account credentials or authentication information
• Send malicious links, files or software
• Impersonate Fragrance Resale, PayPal, Stripe, a fragrance brand, retailer or another user
• Use marketplace communications to facilitate unlawful activity
• Harass or threaten Buyers, Sellers, employees or other users

27.Ratings, Reviews and Feedback

Fragrance Resale may allow Buyers and Sellers to leave ratings, reviews or feedback regarding marketplace transactions.

Feedback must reflect the user’s genuine experience and may not contain fraudulent, defamatory, threatening, discriminatory, abusive or otherwise unlawful content.

Users may not manipulate the feedback system, create transactions solely to generate feedback, offer compensation for misleading positive feedback or threaten negative feedback for an improper purpose.

Fragrance Resale may remove feedback that violates these Terms or our marketplace policies.

Seller Ratings and feedback are informational marketplace tools and do not constitute a guarantee by Fragrance Resale regarding the identity, reliability, authenticity, inventory or future conduct of a Seller.

28.Intellectual Property Rights

Fragrance Resale owns or licenses the intellectual property rights in the Services, including applicable website designs, software, trademarks, logos, graphics, marketplace functionality and original content.

Except as expressly permitted by these Terms, you may not copy, reproduce, distribute, modify, sell, license or commercially exploit our protected content without authorization.

Users must respect the intellectual property rights of Fragrance Resale and third parties.

All third-party fragrance house names, manufacturer names, product names, fragrance names, logos, trademarks and brands remain the property of their respective owners. Their appearance on Fragrance Resale does not by itself imply affiliation, sponsorship, authorization or endorsement.

29.User Content

“User Content” includes listings, descriptions, photographs, videos, messages, reviews, comments, account information and other content submitted to the Services by users.

You retain any ownership rights you may have in your User Content. However, by submitting User Content to Fragrance Resale, you grant us a worldwide, non-exclusive, royalty-free, transferable and sublicensable license to host, store, reproduce, display, distribute, modify and use such User Content as reasonably necessary to operate, improve, market and promote Fragrance Resale and the Services.

You represent that you have the necessary rights to submit your User Content and that our permitted use of that content will not unlawfully infringe the rights of another party.

We may remove User Content that we reasonably believe violates these Terms, applicable law or marketplace policies.

FRAGRANCE RESALE TAKES NO RESPONSIBILITY AND ASSUMES NO LIABILITY FOR USER CONTENT TO THE FULLEST EXTENT PERMITTED BY LAW.

30.Prohibited Uses of the Services

You may not:

1. Use the Services for unlawful or fraudulent purposes.
2. Attempt to gain unauthorized access to the Services or another user’s account.
3. Interfere with or disrupt the operation or security of the Services.
4. Introduce viruses, malware or other harmful code.
5. Probe, scan or test the vulnerability of our systems without authorization.
6. Circumvent access controls or security measures.
7. Reverse engineer the Services except where expressly permitted by law.
8. Use automated tools to scrape or extract marketplace information without our written permission.
9. Use robots, spiders, crawlers or automated systems to collect marketplace content without authorization.
10. Place an unreasonable or disproportionately large load on our systems.
11. Copy or aggregate marketplace data for a competing service.
12. Use Fragrance Resale content to create or improve a competing marketplace without authorization.
13. Misrepresent your identity or affiliation.
14. Manipulate auctions, bids, offers, feedback or marketplace activity.
15. Engage in shill bidding or artificial price manipulation.
16. Attempt to obtain another user’s login credentials or authentication codes.
17. Interfere with another user’s lawful use of the Services.
18. Assist another person in engaging in prohibited activity.

31.Fraud and Marketplace Manipulation

Users may not manipulate marketplace pricing, bidding, offers, sales, feedback or other marketplace activity.

Prohibited activity includes bidding on your own Listed Items through another account, coordinating artificial bids, using related accounts to inflate prices, creating fake transactions, falsely claiming shipment or delivery, intentionally misrepresenting authenticity or otherwise attempting to mislead other users about demand, pricing, ownership, condition, authenticity, delivery or reputation.

We may cancel transactions, remove listings, restrict accounts or terminate users involved in suspected fraudulent or manipulative activity.

32.Manufacturers, Brands, Payment Providers and Other Third Parties

Fragrance brands, manufacturers, distributors, retailers, PayPal, Stripe, Venmo, Cash App, other payment providers, financial institutions, shipping carriers and other third parties operate independently from Fragrance Resale.

These third parties may establish their own rules regarding products, warranties, authenticity programs, shipping, returns, payments, account eligibility, disputes, chargebacks and buyer or seller protections.

Fragrance Resale does not control and is not responsible for the terms, policies, support decisions, payment decisions, dispute decisions, warranty decisions, systems, availability or actions of independent manufacturers, brands or service providers.

Unless expressly stated otherwise, Fragrance Resale is not affiliated with, sponsored by or endorsed by the manufacturers or fragrance brands whose products may be listed on the marketplace.

33.Product Warranties

A Seller may state that a Listed Item includes a manufacturer, retailer or other warranty only when the Seller has a reasonable basis for that representation.

Unless expressly offered by the Seller, Fragrance Resale does not provide any warranty for a Listed Item.

Manufacturer or retailer warranties may be non-transferable, limited to the original purchaser, restricted by region or conditioned on receipts, packaging or other documentation.

Buyers are responsible for independently verifying the availability and transferability of any warranty that is important to their purchasing decision.

Fragrance Resale does not guarantee that a manufacturer, brand or retailer will honor any warranty, return, exchange or authenticity claim.

34.Suggestions and Submissions

We welcome comments, ideas and suggestions regarding Fragrance Resale. Unless otherwise agreed in writing, feedback submitted to us is not confidential and may be used by Fragrance Resale without compensation or obligation to you.

35.Compliance With Laws

You are responsible for complying with all laws and regulations applicable to your use of the Services and your transactions with other users.

We may collect, verify, retain or disclose information when reasonably necessary to comply with applicable law, valid legal process, regulatory requirements, fraud prevention obligations or governmental requests.

Users may not use the Services where doing so would violate applicable trade sanctions, transportation restrictions, export controls or other laws.

36.Taxes

Buyers and Sellers are responsible for determining and satisfying their respective tax obligations arising from marketplace transactions except to the extent applicable law specifically requires Fragrance Resale or a third-party provider to collect, report or remit a tax.

Fragrance Resale does not provide tax advice. Users should consult a qualified tax professional concerning their individual obligations.

37.Third-Party Services

The Services may include integrated PayPal checkout for Seller item payments, Stripe processing for separate Buyer Marketplace Fees, and references to offline methods such as Venmo or Cash App, as well as shipping providers and other third-party websites or services.

Your use of third-party services may be governed by separate terms and privacy policies established by those providers.

Fragrance Resale does not control and is not responsible for the acts, omissions, availability, security, policies or performance of independent third-party services.

38.Marketplace Disputes

Buyers and Sellers transact directly and are primarily responsible for resolving disputes about item condition, authenticity, payment, shipping, delivery, returns and refunds.

For an item paid through integrated PayPal, users may pursue any eligible PayPal dispute process. For offline item payments such as Venmo or Cash App, users must consult the applicable provider’s terms and any available dispute procedures. Stripe handles payment of Fragrance Resale’s separate Buyer Marketplace Fee, not the Seller’s item payment.

Fragrance Resale may review listings, communications, payment evidence and other information in connection with suspected fraud or policy violations, but is not required to mediate or reimburse item transactions except as required by applicable law. Assistance with one dispute does not obligate Fragrance Resale to intervene in others.

39.Disclaimer; No Warranty

TO THE FULLEST EXTENT PERMITTED BY LAW, FRAGRANCE RESALE AND THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT.

FRAGRANCE RESALE DOES NOT WARRANT OR GUARANTEE THE EXISTENCE, QUALITY, SAFETY, LEGALITY, AUTHENTICITY, CONDITION, AGE, ORIGIN, SCENT, PERFORMANCE, LONGEVITY, PROJECTION, FILL LEVEL, PACKAGING, STORAGE HISTORY OR OWNERSHIP OF ANY LISTED ITEM.

WE DO NOT GUARANTEE THE IDENTITY, RELIABILITY, HONESTY OR PERFORMANCE OF ANY BUYER OR SELLER OR THAT ANY USER WILL COMPLETE A TRANSACTION.

WE DO NOT GUARANTEE THAT PAYPAL, STRIPE, VENMO, CASH APP, A CARD ISSUER OR ANOTHER THIRD PARTY WILL ACCEPT, APPROVE, REVERSE, REFUND OR OTHERWISE RESOLVE A PAYMENT OR DISPUTE IN FAVOR OF ANY USER.

WE DO NOT WARRANT THAT THE SERVICES WILL ALWAYS BE AVAILABLE, SECURE, ACCURATE, COMPLETE OR ERROR-FREE OR THAT DEFECTS WILL ALWAYS BE CORRECTED.

You acknowledge that fragrances, particularly pre-owned, vintage, discontinued, opened or partially used fragrances, may change over time and may vary in appearance, color, scent, performance or condition.

You acknowledge that fragrance perception is subjective and may vary based on individual perception, skin chemistry, environment, storage, age, formulation changes and other factors.

You assume the risks associated with purchasing, selling, shipping, receiving, handling and using Listed Items to the fullest extent permitted by law.

40.Fragrance Use, Sensitivities and Product Information

Fragrances and fragrance-related products may contain alcohol, essential oils, aroma compounds, allergens or other ingredients that may cause irritation, sensitivity or allergic reactions in some individuals.

Buyers are responsible for determining whether a fragrance or fragrance-related product is appropriate for their individual use.

Information contained in a Seller’s listing is provided by the Seller and should not be considered medical, dermatological or other professional advice.

Fragrance Resale does not independently verify ingredient lists, formulations, allergen information, manufacturer claims or product suitability.

TO THE FULLEST EXTENT PERMITTED BY LAW, FRAGRANCE RESALE IS NOT RESPONSIBLE FOR PERSONAL INJURY, ALLERGIC REACTIONS, SKIN IRRITATION, PROPERTY DAMAGE OR OTHER LOSS RESULTING FROM THE USE, MISUSE, HANDLING OR APPLICATION OF A LISTED ITEM.

41.Release

TO THE FULLEST EXTENT PERMITTED BY LAW, IF YOU HAVE A DISPUTE WITH ONE OR MORE USERS, YOU RELEASE FRAGRANCE RESALE, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUCCESSORS AND ASSIGNS FROM CLAIMS, DEMANDS, LIABILITIES, DAMAGES AND LOSSES ARISING OUT OF OR RELATED TO THAT DISPUTE.

42.California Notice

To the extent applicable, California residents acknowledge California Civil Code Section 1542, which addresses claims that may be unknown at the time a general release is executed. To the fullest extent legally permitted, you agree that the release contained in these Terms includes claims that you do not know or suspect to exist at the time of the release.

43.Indemnification

To the fullest extent permitted by law, you agree to indemnify, defend and hold harmless Fragrance Resale, its affiliates and their respective officers, directors, employees, contractors, agents, successors and assigns from claims, liabilities, damages, losses, expenses and reasonable attorneys’ fees arising out of or related to:

1. Your breach of these Terms.
2. Your violation of applicable law.
3. Your violation of another person’s rights.
4. Your User Content.
5. Your Listed Items.
6. Your purchase, sale, shipment, delivery, handling or use of a Listed Item.
7. Your marketplace transactions.
8. Your misuse of the Services.
9. Your sale or attempted sale of counterfeit, adulterated, stolen or materially misrepresented products.

We reserve the right to assume the exclusive defense and control of any matter otherwise subject to indemnification, in which case you agree to reasonably cooperate with our defense.

44.Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, FRAGRANCE RESALE AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, CONTRACTORS, SUCCESSORS AND ASSIGNS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOST DATA, LOSS OF GOODWILL OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO THE SERVICES, THESE TERMS OR ANY TRANSACTION BETWEEN USERS.

THIS LIMITATION INCLUDES CLAIMS ARISING FROM LISTED ITEMS, COUNTERFEIT OR MISREPRESENTED PRODUCTS, INTEGRATED PAYPAL ITEM PAYMENTS, OFFLINE ITEM PAYMENTS, STRIPE BUYER MARKETPLACE FEE PAYMENTS, PAYMENT-PROVIDER DECISIONS, CHARGEBACKS, SHIPPING, DELIVERY, LEAKAGE, BREAKAGE, RETURNS, REFUNDS, USER CONDUCT, PRODUCT CONDITION, AUTHENTICITY, PRODUCT AGE, FILL LEVEL, FRAGRANCE PERFORMANCE, ALLERGIC REACTIONS, MANUFACTURER ACTIONS, WARRANTY CLAIMS, PROPERTY DAMAGE OR THIRD-PARTY SERVICES.

TO THE FULLEST EXTENT PERMITTED BY LAW, FRAGRANCE RESALE’S AGGREGATE LIABILITY TO YOU ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE LESSER OF ONE THOUSAND DOLLARS ($1,000.00) OR THE TOTAL FEES PAID OR PAYABLE TO FRAGRANCE RESALE IN CONNECTION WITH THE TRANSACTION GIVING RISE TO THE CLAIM.

Some jurisdictions do not allow certain exclusions or limitations of liability. In those jurisdictions, the limitations above will apply only to the maximum extent permitted by law.

45.Account Suspension and Termination

We may investigate suspected violations of these Terms and may take reasonable action including:

• Removing or restricting listings
• Canceling bids or offers
• Canceling or restricting transactions
• Restricting marketplace features
• Temporarily suspending an account
• Permanently terminating an account
• Restricting Seller functionality when applicable marketplace requirements are not satisfied
• Cooperating with law enforcement, intellectual property owners, payment providers or regulatory authorities when appropriate and legally permitted

Termination of an account does not eliminate obligations relating to completed transactions, outstanding fees, disputes or provisions of these Terms that by their nature survive termination.

46.Service Availability

We may modify, suspend, discontinue or restrict any feature or portion of the Services at any time.

We are not liable for interruptions resulting from maintenance, technical problems, third-party providers, internet disruptions, security incidents, events beyond our reasonable control or other service interruptions.

47.International Availability

Fragrance Resale does not represent that the Services, Listed Items or every marketplace feature are available or legally permissible in every jurisdiction.

Users accessing the Services outside the United States are responsible for complying with applicable local laws, import and export requirements, customs rules and shipping restrictions.

Because fragrances may contain alcohol or other regulated ingredients, international shipping may be restricted by law, customs authorities or transportation carriers. Sellers are responsible for determining whether a Listed Item may lawfully be shipped to a particular destination.

48.Changes to These Terms

We may update these Terms from time to time. Updated Terms will be posted on Fragrance Resale with a revised effective date.

Your continued use of the Services after updated Terms become effective constitutes acceptance of the updated Terms to the extent permitted by applicable law.

If you do not agree with an updated version of these Terms, you should stop using the Services.

49.Governing Law and Venue

These Terms will be governed by and construed in accordance with the laws of the State of Maryland, without regard to conflict-of-law principles.

To the extent permitted by applicable law, you agree that any legal action arising out of or relating to these Terms or the Services will be brought in a court of competent jurisdiction located in Montgomery County, Maryland.

50.General Provisions

Entire Agreement. These Terms, together with the policies and terms incorporated by reference, constitute the agreement between you and Fragrance Resale concerning the Services.

Severability. If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions will remain in effect to the fullest extent permitted by law.

No Waiver. Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.

Assignment. You may not assign your rights or obligations under these Terms without our prior written consent. Fragrance Resale may assign these Terms in connection with a merger, acquisition, reorganization, sale of assets or other lawful business transaction.

Headings. Section headings are provided for convenience and do not affect the interpretation of these Terms.

Survival. Provisions that by their nature should survive termination will remain effective after termination, including provisions concerning fees, intellectual property, releases, disclaimers, indemnification, limitation of liability and disputes.

English Language. If these Terms are translated, the English-language version will control to the extent permitted by applicable law in the event of a conflict.

No Legal, Medical or Tax Advice. Information provided through Fragrance Resale is for general informational purposes and does not constitute legal, medical, tax, accounting or other professional advice.

51.Additional Marketplace Terms

Your use of specific Fragrance Resale marketplace features may also be governed by additional terms and policies incorporated into these Terms.

If you participate in auctions or place bids, you are also subject to our Bidder Terms.

If you create listings or sell through Fragrance Resale, you are also subject to our Seller Terms.
